  • Yes. If you don’t pay your fees, the state can revoke your registration. You will have a 45-day grace period after the filing deadline to submit the proper fee amount. But after that, the state will no longer allow your LLC to be legally operating in the state.

How do I form my LLC in Oregon?

1. Name Your LLC  

What’s in a name? When first starting your business, a good name is extremely important. Oregon has a few rules that you must follow, however:  

  • Contain the words or abbreviations “limited liability company,” “L.L.C.,” or “LLC”
  • Not include words that suggest your LLC has an unauthorized purpose
  • Be different from other names on file with the Secretary of State


2. Choose a Registered Agent  

Every company registered to do business in Oregon is required to have a registered agent. A registered agent is there to officially accept service of legal papers such as lawsuits and other legal documents.

You or another person can serve as your own registered agent as long as you have a physical street address in Oregon, but it might be a good idea to have someone else represent your company because the registered agent has to be open and available for service during normal business hours.

3. File Your Articles of Organization

The Articles of Organization is the form that will officially create your LLC with the state of Oregon. You will have to pay a $100 filing fee. The filing can be done online at the Oregon Secretary of State website or via mail, or in person.

4. Create an Operating Agreement

Although Oregon doesn’t require LLCs to have an operating agreement, it’s still a good idea to create one.

5. Get an EIN
